Senior Technology Transactions Counsel Sought for Global Biotech Company (Remote or Hybrid)

Our client, a leading biotech company servicing the medical research and life science industry sectors, seeks to hire an accomplished technology transactions attorney to join its growing business and highly collegial legal team. Title is dependent upon seniority (GC is open to considering candidates with 10-25 years’ experience), as is the prospect of managing other lawyers.

Our client was founded 25+ years ago and is located in the DC Metro Area; however, this position can be fully remote.  You will join an experienced General Counsel, who has been in-house in the biotech industry for 20+ years (12 years at this company), two other transactional attorneys (one of whom G&S placed 12 yrs. ago) and three patent lawyers.

Role & Responsibilities: The company seeks an attorney to serve as the “right hand” to the General Counsel on transactional matters, and you will have significant interaction with internal clients and senior executives and extensive cross-functional collaboration with all business groups. Focus is on drafting, negotiating, and reviewing a broad range of transactions, including licensing, research collaboration, supply, sales, lease, financing, services, NDAs, MSAs, material transfer, and vendor agreements (to support European operations). You will advise on matters of strategic importance, such as technology transfer, risk identification and mitigation related to potential transactions, and conduct preventative contract and compliance training regarding terms and conditions, and delivery/operational issues. Secondary areas of responsibility include: employment law, international trade, regulatory compliance and corporate governance.


Candidate Profile Sought: Strong proficiency in licensing agreements and IP clauses in other agreements is required. In addition, you must have the ability to juggle multiple projects and effectively close transactions on tight deadlines. Consensus building across groups is essential, as is the ability to work effectively with all levels of management and staff. High volume commercial transactions experience in the biotechnology or related scientific area is preferred, and the ideal candidate will be skilled at leading and mentoring other attorneys.


Selling Points: The company’s founders are invested in this hire and are looking for a true transactional business partner. They are not looking to be acquired and invested in the business for the long term. The company provides a corporate culture which values collaboration and innovation, and hours are reasonable and predictable (typically 45 hrs./week). Compensation and benefits package are in-house market competitive.
