Legal & Business Affairs Counsel (2 Positions)

G&S has been engaged by a leading research, technology, and services company that provides solutions for educational institutions, to assist in its search for a Legal Counsel who can handle commercial contracting while taking on other discreet legal matters in support of the broader organization. You will have frequent interaction with sales, product development and delivery, information systems, and the finance functions as well as with senior representatives from clients, vendors, and strategic partners externally.  Position is best suited to a business-minded legal generalist.

Our client partners with over 2,500 schools, colleges, and universities to accelerate progress and drive results across five major areas: enrollment, student success, institutional strategy, data & analytics, and diversity, equity, and inclusion. They are private equity owned and have recently acquired five companies, resulting in a number of additional products and service offerings. This has significantly increased the volume of transactional work and now the need to hire two new lawyers. You will report directly to the General Counsel, work closely with other attorneys in the DC and Richmond office, and have the support of an experienced contracting team.

Key responsibilities include: Draft, review and negotiate complex business contracts (including software technology licenses and data-enabled services); support RFP preparation and negotiation; navigate procurement process involving public colleges and universities; stay informed about regulatory developments in higher education and work closely with outside counsel to ensure regulatory compliance (e.g., privacy and information security); support the company on other legal matters (e.g., employment, IP, M&A, and privacy).

Qualified candidates should have 4+ years of transactional experience in either a law firm or corporate legal department setting. Strong negotiating and relationship-building skills and excellent interpersonal, influencing and communication skills are required. The ideal candidate would have familiarity with FERPA, CCPA, GDPR, and other regulatory statutes applicable to higher education institutions and data privacy.
