High-Growth, Regional Bank Seeks Senior Corporate & Securities Lawyer (Fully Remote Option)

Leading regional bank has retained Garrison & Sisson to assist in its search for an Associate General Counsel to serve as a senior member of its legal team. You will manage all corporate transactions, handle corporate governance matters, and serve as the bank’s public companies lawyer on all disclosures and securities compliance. This is a chance to shine at a smaller financial institution (2,000 employees) and work with a General Counsel who will invest in your success.


  • Provide legal advice and support for strategic corporate transactions: mergers & acquisitions, divestitures, debt and equity issuances and offerings, investments, joint ventures, swaps and derivatives, asset sales and purchases, and intercompany transactions
  • Act as lead internal counsel providing advice on ‘33 and ’34 Act compliance and NASDAQ rules
  • Provide legal advice and assist with disclosures, including 10-Ks, 10-Qs, 8-Ks, earnings releases, proxy statements, and Section 16 filings
  • Partner with investor relations teams on shareholder communications
  • Oversee the insider trading policy and compliance program
  • Provide occasional legal advice and support to business partners on a wide range of commercial contracts
  • Manage legal expenses to achieve budget targets

Qualified candidates must possess 10+ years of relevant corporate and securities law experience. Experience in a public company is ideal but not required, as is experience in the financial services industry. Essential skills: Business orientation and ability to provide practical z-+solutions; strong ability to identify risks and propose alternative structures to mitigate those risks; and excellent attention to detail and organizational skills.
