Commercial Contracts Counsel, Innovative EdTech Industry Leader (Remote or Hybrid)
G&S has been engaged on an exclusive basis to assist a leading, on-line education partner for colleges and universities in its search to recruit a Commercial Counsel. This attorney will join a dynamic and close-knit legal team of 13 which works hand-in-glove with business units across the company. Our client is headquartered in Maryland; however, they are open to someone working fully remote or a hybrid schedule.
Primary Responsibilities: You will draft, review, negotiate, and advise on commercial agreements with vendors across the business, including IT, marketing, and software vendors; analyze and negotiate agreements related to the ownership or licensing of intellectual property; manage the Company’s trademark portfolio and assist with other IP related issues as necessary; and provide guidance on commercial disputes. You also will have exposure to other matters such as real estate, corporate governance, and management of corporate subsidiaries.
Candidate Profile Sought: 3-5 years of legal experience in a law firm or corporate legal department focused on technology and/or commercial transactions. Familiarity with intellectual property matters is a plus. Strong drafting and negotiating skills are essential, as is the ability to juggle multiple projects and deals and to effectively close transactions on tight deadlines. Must be skilled at consensus building across groups, work effectively with all levels of management and staff, and demonstrate sound legal and business judgment.
